PC Docs Group looking to buy Fulcrum Technologies

On completion of the purchase, PC Docs said it intends to continue running Fulcrum as a separate company that will retain the Fulcrum name and will be part of the PC Docs Group. PC Docs expects the acquisition will result in a restructuring charge, along with a "significant charge" for purchased research and development, according to the release.

Can anybody tell me why they want to run it as a seperate company?
Would it make sense to cut management and keep the workers or is Pcdocs management overworked. Sure doesn't look like it with the last quarter results.
