you are right about shares number for Hamilton Thorne. Close to same number than CZO common share outstanding.

Only Shareholders of record as of the Record Date are entitled to receive notice of and attend and vote at the Meeting. As at the Record Date, the Corporation had 59,596,126 Common Shares issued and outstanding. Each Common Share carries the right to one vote. Except as set out below, to the knowledge of the directors and executive officers of the Corporation, as at the Effective Date, no persons or corporations beneficially own, directly or indirectly, or exercise control or direction over, more than 10% of the issued and outstanding Common Shares:

1. Daniel K. Thorne owns directly or indirectly an aggregate of 19,596,107 Common Shares, including 3,936,288 Common Shares held of record by Star Lake Bioventures, LLC, a company controlled by Mr. Thorne (representing approximately 32.88% Common Shares);

2. Louisa Spencer directly and beneficially owns 11,387,871 Common Shares (representing approximately 19.11% Common Shares); and

3. AWM Investment Company, Inc. beneficially owns 9,756,544 Common Shares held of record by Special Situations Life Sciences Fund L.P. (“SSF”) (representing approximately 16.37% Common Shares). Austin Marxe, Dianne Marxe and David Greenhouse are senior officers or directors of SSF and, as such, exercise control or direction over the Common Shares held by SSF.
