Gentlemen, I appreciate both of you viewpoints. I think that the discussion of Reg S vs. D has degenerated into semantics. May I propose that we all agree to disagree. In that fashion, we can drop this line to pay attention to other more pressing issues of mutual interest. FWIW. Thanks. JSY (usually I'm a fly on the wall but its tedious for even this fly.)
