I'm not an accountant but other stock for stock deals I've seen that were non taxable had a specific number of shares of acquirer per aquiree share that did not change although the value given went up or down as the acquirer share price changed in the market. In this case the value paid, $45 per IOC share, doesn't change but the number of XOM shares to be received does. Maybe that is the taxable trigger but I'm just speculating without expertise. I initially wrongly assumed this deal would be non taxable except for any CRP payment but not so. I sold all my taxable account shares yesterday. May still buy some in an IRA.

XOM did a similar deal when they bought XTO (and paid 2X or 3X too much!)... XTO shot up and I sold it all... I had no interest in owning XOM at that time... and still don't... but thx to XOM over paying for XTO, I pocketed a whopping multi-bagger (6 or 8 as I recall): one of the biggest I ever had -- the biggest being AAPL when I bought at split-adjusted $3.51 in '97 and sold it in 08/2008 to start paying for the daughter's college -- sheer luck that I sold in Aug. at $178 as planned all along to liquidate it for her college expenses -- I don't know how many "bags" that is, from $3.51 to $178, but we didn't have to borrow any money for her college!!!
