There apprears to a lot going on at SSAX--today the company named a new COO and president--Covey remains CEO and chairman of the board of directors.

The year 2000 software (still haven't talked with Skadra) is a fix for pre 6.0 versions of BPCS. There are many sites that will require this upgrade. This represents a change from about a year ago when it was assumed that everyone would want to go to 6.0 (2000 year compliant)--the subject was pointed out to the trade by competitor SAP--assume that the software is the answer to customer requests for the 2000 year fix.

I was incorrect in suggesting the money for the refinancing came from the Pritzker family of Chicago--that deal was rejected in favor of a refinancing arrangement with H&Q--H&Q also put its own money into the company according information I have received. The only way to confirm this is to get the SEC filings and read them carefully--a must if you have big money riding on this company.

It appear the ties between SSAX and IBM are getting stronger--not to suggest in anyway that there is a possibility of a takeover. The two companies have been working together for years--it is my understanding that the new COO is an ex INM executive who had been previously assigned to work out business arrangements with the company.

Still think the number of shares is closer to 45 million than 42.6 million but still don't have hard data.

New COO first project will be to clear the decks for a major push in marketing of BPCS (now a proven factor). Look for more management changes (retirement of some long term employees). Also assume that cost control will be a major drive--if not all the work and money spent will not improve the bottom line. Earnins per share are in my opinion just as important as revenue growth--second thought--MORE IMPORTANT!

My person opinion (please--I am not making any recommendation)--I want more information if I can get it--however I am satisfaied that things are finally going in the right direction for this company after 1.5 years of pure HELL!

best to all--Maurice Sadowsky
