Al, notice this paragraph at the beginning of the filing:

"EXPLANATORY NOTE

This Post-Effective Amendment No. 1 amends a Registration Statement
on Form S-4 (No. 333-1290) relating to 10,000,000 shares of Class A Common Stock, par value $.001 per share, and/or certain Warrants of Nextel Communications, Inc. (the "Company") that may be issued from time to time by the Company in connection with its acquisitions of other businesses, properties or securities in business combination transactions. Such Registration Statement was declared effective by the Securities and Exchange Commission on April 26, 1996. The purpose of this Post-Effective Amendment No. 1 is to update the information
set forth in the prospectus in such Registration Statement."

So there you have it: An update of a 1996 filing. I couldn't find the 4/26/96 S-4 in Edgar but the recent amendment looks to be much ado about nothing. We all know that NXTL is in the hunt to buy 800 mhz spectrum. Maybe they're about to buy another company or two. Regardless, NXTL needs capital sooner than expected because of the surprising increase in customers and they may sell the stock to someone with cash burning a hole in their pockets. Dilution? With about 350 million shares, fully diluted, already? Hah!
