Ellen,

I went back and read the 8-k. It did say
that they will be issued after 6months of
the merger and that they would be restricted
shares.

The options exercisable to restricted shares
still seems a little weird to me.

Per page 13 of the 9 Oct 97 8K, you are correct.

"...specifically Olympus' obligations to issue said persons options to aquire an identical number of Rule 144 "restricted" shares of common stock as follows: 100,000 to Marcus; 2,000,000 each to Morgan and Breton.~RMCW further agrees that such options shall be issued within six months of closing."
