MIS International Inc. Reports on Its Operations

MISSISSAUGA, Ontario, Jan. 9 /PRNewswire/ -- MIS International Inc. (OTC Bulletin Board:MISM - news) announced today the following activities.

Store Revenue Increase 46 % in Canadian Pretzel Twister Outlets

1997 revenues for Pretzel Twister outlets in Canada increased to $1,009,354 from $690,874 in 1996. According to MIS CEO Dan Masters, ''New marketing ideas and public awareness of our healthy snack alternative have been driving repeat business.'' According to Masters, ''We should see an even greater increase in 1998.''

Acquisitions

Closing is scheduled to take place next week on the acquisition of Mister Twister Pretzels Inc. (MTPI) a Florida-based chain of twenty-two pretzel outlets in the southeastern United States. MTPI operates under the trade name ''The Pretzel Twister'' and is the company that MIS CEO Dan Masters purchased the Canadian Pretzel Twister chain from in 1995. This will triple the number of pretzel locations for MIS.

MTPI 1997 average store sales increased to $248,592. 1996 average store sales were $215,278. Masters states, ''We plan on introducing some innovated marketing programs for this chain that should increase per store average sales considerably. We also plan on opening a minimum of twenty four-new locations in the United States in 1998.''

MIS is pleased to report that negotiations to acquire a successful two- hundred and twenty unit food chain have now reached the letter of intent stage. Both parties have agreed to business terms and expect to sign a letter of intent by the end of next week. According to Masters, ''This company has locations in North America and Asia and is growing by almost one store per week. Details including the name, price, revenues and profits of the company will be announced once the letter of intent has been completed.''

MIS has agreed to the request with its automotive acquisition to a February 01 delay in announcing the name and terms of the deal. Masters states, ''Nobody should take the delay as a problem with the deal. The vendor has a directors meeting scheduled for the end of January. This meeting involves matters with other segments of the vendors business that will have a positive impact on our relationship with the vendor after the sale has closed. In fact this will increase our profits on the deal and we gladly agreed to a one month delay.''

Wholesaling

MIS expects to make an announcement within thirty days on a joint venture with one of the largest food companies in Canada to place Pretzel Twister products on supermarket shelves across Canada. According to Masters, ''We have had positive meetings with a substantial food company. Both of us agree that fresh baked pretzels packaged professionally and nationally distributed can earn substantial revenues in the millions of dollars per year. R&D on product procedures is currently under way and should be concluded in three to four weeks. A search is under way for a joint venture partner in the United States for a similar relationship.''

Displays for the previously announced Cosco deal are under construction and should be ready for store delivery in the next few weeks.

MIS International Inc. develops and franchises retail concepts on a multi- unit basis. MIS currently has two distinct franchise concepts, Pretzel Twister in the snack food industry and Wheel to Wheel in the automotive repair industry.
