MX Gold (MXL-V) Jan 3rd 2018 has closed a non-brokered private placement. The Private Placement is subject to TSX Venture Exchange approval.

The Company completed the sale of 29,193,333 Million units ("Unit") at a purchase price of C$0.075 per unit for gross proceeds of C$2,189,500. Each Unit is comprised of one common share in the capital of the Issuer (each, a "Share") and one transferable common share purchase warrant (each, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one Share (each, a "Warrant Share") at a price of $0.15 per Warrant Share until 5:00 p.m. (Vancouver time) on the date of expiration of the Warrant, which is five (5) years following the Closing Date.

The Common Shares acquired by the subscribers are subject to a hold period of four months plus one day.

The Company intends to use the proceeds from the issuance of the shares for general working capital and its Magistral Project in Mexico.
