Where in the merger 8-K does it say that the shares were to be delivered in one year, as the current 8-K states. Those shares were going to be issued right away, if I read this correctly.

And, once again, PRTI's attorney says Niether Michael Puhr, RMCW, nor RMIL have any legal right to those shares, in his professional legal opinion. Michael Burg, the President of MVPH agrees.
