Dear Rob L. I am very familiar with the CPA firm they hired. This firm was the CPA's for the bank I serve on as a Director. Also, they are a rather large firm probably ranking just behind Grant Thornton, so you need not worry about their authenticity. However, they do in no way compare with the likes of a Arthur Andersen. However, they are quite a bit cheaper also. Personally, were I advising the Company I would tell them to go with Andersen, mainly because they audit many of the high tech firms and could supply some interesting contacts which Seidman cannot. As to the rest of the Proxy, I myself felt they were OVERREACHING with the stock option plan of 2,200,000 shares. I think they may have been too generous when the stock was around $1 but then I always was called cheap anyhow. haha. JDN
