Jerry, if the S-3 had been accepted as originally submitted you would be right but several additions protecting us shareholders were included and consequently your supposition is impossible. The S-3 converters can not at any one time own more than 4.9% of TCLN. They also cannot sell more than 10% of the daily volume or 50,000 shares or 10% of the daily average of 5 days worth of trading.

By noon today more than 50,000 shares had already been bought from the only offers, otherwise known as Herzog and his shill. Obviously they are shorting.

Though there are successive conversion windows the Feb-March period is the most important because the five (four?) year conversion price is set. In coming years they would like nothing better than to convert a block and sell it the same day, prospectively to institutions.
