In addition to any dispute over the legal meaning of the term "Shall", there would be the question of what exactly in this context is meant by "establish". Setting up the federal system as the exchange in the state could be considered establish, as would I think (if any state chose to do so and I don't think any did) working together with another state to use their system. If your looking for an example of the court rewriting what's actually in the law you could find better examples than this.
