I'd preface the following by saying that I think it's extremely
unlikely, but......

As I understand it, a consequence of the shareholder lawsuit was to
give CHPS the right to withdraw from the offer with less punitive
damages than originally negotiated. They can do this right up to the
settlement date.

The fact that the FTC were investigating is an indication that someone
else doesn't want the deal to go through. This has been widely
speculated to be another of the graphics companies. Whilst there
was the possibility of the deal being stopped, there seemed little
point in one of these players making a counter offer. However, now
that it is likely to proceed, the stage is set to allow a counter
offer to emerge. In fact, one of the players who stands to lose the
most from the purchase is the most likely to benefit from buying
CHPS and thereby preventing Intel from building their feared monopoly.

An unlikely outcome, but by no means impossible.
