I see your points. But if NNVC fails all of it goes to him. So his NNVC stocks becomes zero but it's value transfers to Theracore. Who owns Theracore?
He might have all the IP but who would be dumb enough to lend him money without including Theracore to make sure he doesn't do it again?

Shareholder lawsuits might keep him busy for decades as we'd (via proxy of a class action led by a sleazy lawyer) go after Theracore via a civil suit to get something or at least punish him....

I think there is plenty of incentive to make THIS work... he just has it set up to be a poison pill for a hostile takeover.
