Vishay Withdraws Hostile Bid for International Rectifier

Vishay Intertechnology said on Monday that it was withdrawing its $1.7 billion hostile tender offer for shares of International Rectifier, days after it lost a proxy fight at the smaller semiconductor maker.

It was the third unsolicited takeover offer that was withdrawn on Monday, as both Waste Management and United Technologies pulled their takeover bids for Republic Services and Diebold, respectively.

Like United Technologies, Vishay cited an unwillingness by the target company to hold merger talks. Vishay had offered $23 a share in cash, a 22 percent increase from its original offer made in August.

“As we have consistently said, we can not pursue our proposal in the face of opposition from a board of directors that has refused to engage in any discussion with us regarding our offer,” Vishay said in a statement. “We regret that International Rectifier stockholders will not be able to participate in what would have been a compelling opportunity to create significant value for them.”

At International Rectifier’s shareholder meeting on Friday, a majority of the company’s stockholders rejected Vishay’s three director candidates.

Vishay said it was returning shares it had garnered during the tender offer.
