Nasdaq SmallCap and Nasdaq National Market Listing Requirements

The Nasdaq SmallCap (electronic otc-bb) and requirements for listing on the Nasdaq National Market (big board) can be found at: nasdaq.com

Essentially, what Sun Gold needs to move to the SmallCap Market (electronic otc-bb) includes the following:

1 For initial or continued listing, a company must satisfy one of the following to be in compliance:
a. the net tangible assets requirement ($4,000,000), (net tangible assets means total assets, excluding goodwill, minus total liabilities)
b. the market capitalization requirement ($50,000,000)
c. or the net income requirement.(Net Income in latest fiscal year or 2 of last 3 yrs. of $750,000)

2 Public Float (shares): 1 million
Public float is defined as shares that are not held directly or indirectly by any officer or director of the issuer and by any other person who is the beneficial owner of more than 10 percent of the total shares outstanding.

3 Market Value of Public Float: $5 million

4 Minimum Bid Price: $4

5 Market Makers: 3

6 Shareholders (round lot holders): 300
Round lot holders are considered holders of 100 shares or more.

From what I can tell looking at this, it seems that the easiest way to meet the requirements would be to have the share price go over $4. At that point the market cap is over $50,000,000. I believe the company already satisfies the other requirements. The National Market will have to wait a while.
