Commission wins undertakings on CLT-UFA, Kirch use of d-box by Premiere

European Commission said it has received formal undertakings from CLT-UFA and KirchGruppe that they will immediately end further use and marketing of Kirch's d-box decoder for subscribers of the two companies' Premiere Digital TV channel in Germany.

The undertakings followed talks Friday involving competition commissioner Karel Van Miert and the companies over Van Miert's earlier threat that the companies face fines if they do not suspend operations during an EU inquiry into their digital TV merger.

However a commission spokesman said Van Miert did not want to 'punish consumers' and therefore 100,000 d-box decoders already sold to Premiere customers can continue to be activated and a further 30,000 d-boxes already sold, but not yet activated, could also receive broadcasts.

'On the basis of the undertakings given by the two companies there is no longer any fear that the d-box will be presented by the two companies, before the commission's final decision, as the de facto digital TV norm for the Germany market,' the commission said.

The spokesman said the companies have agreed to 'correct their mistake' in recent advertisements making out that the d-box is the German norm but gave no further details on how this would be carried out.

Commission officials said the ban on further Premiere use and promotion of the d-box would be valid until the middle of May. However they declined to say clearly that the commission will open an in-depth investigation of the merger for four months on 15 January.

The undertakings end all forms of direct marketing by Premiere of the d-box; demands for subscriptions should not be dealt with nor accepted; and Premiere will not agree subscriptions for Premiere Digital with holders of a Kirch DF1 decoder nor authorise their activation, the commission said.

The 100,000 d-box subscribers won by Premiere since the start of November are mainly those who have switched at promotional prices from Premiere's analogue channel as well as digital subscribers who have swapped their media-box for a d-box decoder, it said.

EU seeks comments on CLT-UFA, KirchGruppe joint control of Premiere
------------------------------------------------------------------------
European Commission said it is seeking comments on the acquisition of joint control of Premiere Medien GmbH & Co KG by CLT-UFA SA and KirchGruppe unit Taurus Beteiligungs GmbH & Co KG in Germany's digital TV market.

CLT-UFA and KirchGruppe are also acquiring joint control of BetaDigital Gesellschaft fuer Fernsehdienste mbH and BetaResearch Gesellschaft fuer Entwicklung und Vermarktung digitaler Infrastrukturen mbH, the commission said.

Premiere promotes analogue and digital pay-TV while BetaDigital operates a 'playout centre' and BetaResearch develops and licenses digital data transmission technology, it said.

Interested third parties have 10 days in which to comment under EU merger regulations, it said.

CLT-UFA is a joint venture between Bertelsmann AG and Cie Luxembourgeoise pour l'Audiovisuel et la Finance (Audiofina) it said.
