I also noticed Skate's bonus discussion in the proxy. It is interesting how the compensation committee tries to justify this action. It takes them two pages in the proxy.

The company makes $55M for the year ($1.26/sh) and they give a $10M bonus to the CEO. And to make matters worse, they give him another $7M bonus to sign on for three more years.

Then they announce 1st qtr '98 lower than expected earnings ($.10/sh?).

I figured Clariion would report weak results due to the woes at SGI, et al. I also figured (erroneously) that it was already factored into estimates and the current price.

There is a silver lining -- maybe you'll get your options repriced.
