Although I have no knowledge of what happened after the Reg S for RMIL was completed, I would imagine that the holders of those shares are not the original subscribers considering what happened to the stock price afterwards.... :0( This means that there is little likelihood of additional existing shares from the Reg S lurking out there.

And you know, you don't have to put up with Reg S. I have already made it a personal policy that I will generally refrain from investing in a company that relies on dilutive Reg S placements unless they can adequately explain to me personally why they were unable to obtain financing through alternative methods.

The same goes for convertible debentures.

It is abusive. It is financing arranged by a managment that is playing it "fast and loose" and obviously has little personal stake in the company they are managing.

I look for high insider ownership and the use of restricted private placements for obtaining financing. I'm don't expect miracles with developmental or start-up companies, but I do expect management to have the shareholders interest in mind and the only way they can do this is through having their own capital at risk as well.
