Well if he were on the Board if he is filling a vacant spot he wouldnt need to be voted on until the Shareholders meeting (assuming the company's charter is similar to most.
Generally the company pays for the directors insurance. But we know they have no money. In this case I guess they could print more shares to pay their directors fees.
