A lawsuit at this point would be ill-conceived and foolhardy at best! It would only insure the demise of INCE and our investments in it. Current management needs our patience and forebearance if they are to succeed. A lawsuit can always be filed at some appropriate date, now is not the time. Little good will be derived other than make one "feel vindicated', at great expense I might add.

I am not as concerned with the repricing of the options as some. I hope and anticipate that Paul becomes a millionaire many times over as it insures that we also will do well. Remember that this is new management and needs the proper incentives to succeed.

I am more concerned with the dilution problem and have spoken to Paul regarding this.It will be addressed in the forthcoming letter to shareholders. Possible solutions include warrents, "buyback" of the remaining series C shareholders, additional stock in Sigma and Microlink to payback the monies INCE advanced its entities and ,in effect, increasing our interest in these companies through our ownership in INCE, etc.
