Hi Rick,

I have a dislike for equal all stock mergers.

If a company is strong and acquisitive - I like at least a portion of the merger being cash and a less dilutive effect on the acquiring company.

If you look back at the peak of the dot.com collapse there were a lot of stock only mergers - think Csco.

Mergers can mean two weak companies seeing the writing on the wall and combining for synergies only.

If their business is peaking that can be a sign of negativity into the future.

Just a red flag in my way of thinking, and it does not always necessarily apply.
