Now take a look at the equity infusion statement:

Consummation of the Agreement is subject to certain conditions detailed in the Agreement attached hereto as Exhibit 2.1, including the infusion of a minimum of $5,000,000 of additional equity capital (the"Equity Capital") into the Company. The Equity Capital is to be in the form of a private placement of Rule 144 "restricted" common stock of the Company at a price not less than 90%
of the prevailing bid price of the Company's common stock. If the Equity Capital is not funded by October 25, 1997, or such later date as mutually agreed to by the parties, the Agreement will be terminated automatically.

This one confuses me and I will appreciate comments:

It has been reported that RMIL is a third party to the equity infusion agreement, yet as per the 8K, the agreement calls for the private placement of Rule 144 "restricted" common stock of the company and,
at a price of not less than 90% of the prevailing bid price of the common stock.

Since RMCW is a private company and thus does not have a prevailing bid price, I am understanding the 8k to clearly tie the equity infusion to RMIL as it is the company issueing stock.

If the infusion takes place while the stock is not trading, what is the prevailing bid price? I recall someone has posted it. Will someone please list the existing bid ask if there is one?
