Susan,

A reverse at this point is highly unlikely. DCI is no where near there maximum number of shares. Also they have not had to go out and raise money by selling shares so that would lead me to conclude that a buyback is the most reasonable action that could be taken.

DCI currently has 500 million shares authorized and about 14.2 million actually outstanding. I have gone over all the 8-k's issued for the acquisitions we have done in the last year. If all warrants and options are exercised then the total shares will move to about 17 million. That is fine as long as revenues and EPS are expanding at the same time. I would say that the options are being exercised by the insiders holding them because they know that great things are coming from DCI and are getting their shares in place. Most of the options have lockup agreements on them so they are not going to be coming to the market any time soon. I have been asked by some friends about Reg-S shares issued by DCI. I have verified that these shares have only been issued to the 3 acquisitions outside the US. There have been NO Reg-S shares issued to raise capital. That is usually a warning sign that a company has a problem, when Reg-S shows up. That is NOT the case with DCI.

I am very happy with the progression of DCI and cannot wait to see what surprises Joe has in store for us. I'm sure it will be highly profitable to everyone.
