Ron, the S-3 is dated Jan 14th - so the effective date for these shares (45 days if I remember correctly) is Feb 28th. This should be after the quarterly report is released - and IMO, IAIC needs to start showing growth in revenue and smaller losses this quarter. IMO, the quarterly report will have a bigger impact (positive or negative) then the dilution from this pp.

BTW, software capitalization is a huge issue for IAIC. They have about $3.1M in costs to write off over the next two years (the conservative life span of the Y2K product). With about 6M shares - this is about $0.50 per share in amortization expenses - very high! Anyone interested in this issue can read my post: exchange2000.com

Also - does anyone have the date for the Quarterly Report?
