Julio, they have to file with the sec, but not a 10k, sorry I did not make that clear. I'm not sure of the names of these forms, but you can
call Mark Badger 905 264 0701. Let me no how you make out, inform him that we correspond and I think you'll be happy you made the call.

I recently queried the SEC about another Canadian company (Barrick) for the same reason. The following is the e-mail I received from them.

Dear Mr. Alexander:
Foreign registrants are NOT required to file electronically. Barrick
has been filing the documents required of a foreign registrant (they
have different forms than do domestic registrants) on a regular basis, but it has done so in paper.

Paper documents, such as Barrick's Forms 6-K (used in place of a 10-Q
or an 8-K), are available from the SEC Public Reference Room; contact
them by phone at (202) 942-8090 or by e-mail at publicinfo@sec.gov

You can read more about the forms required for foreign registrants on

In both cases, use your browser's search or find feature to search on
foreign to locate the information you need.
