That is absolutely mind-boggling...You asked for a clarification at the shareholder meeting and the response you got should probably be reviewed.
Thanks! I totally agree.

I've been following up with the company, but they are not responding to me. I've sent three emails so far with a widening audience and increasing specificity of my concerns about their material misinformation regarding the licensing agreement. So far, I've tried to be pretty polite about the matter, but...
  1. I wonder if they knew they provided materially false information to me at the shareholder meeting, according to the copy of license agreement I've since located on the SEC website. (I kind of doubt they knew.) [BTW, I have also made a copy of the shareholder meeting audio.]
  2. I wonder if they know now that they provided materially false information to me at the shareholder meeting. (I suspect they know it now. I think I've spelled it out clearly and broadly enough in my emails.)
  3. I wonder if the misdirection was intentional (I kind of doubt it), or...
  4. I wonder if they might use this new license agreement as an opportunity to correct the wording of the old license agreement. without raising too many eyebrows. (I hope so, but I still doubt it.)
You were obviously very right to ask what the term meant. You might want to do it again and get the understanding in writing somehow, because 15% of "sales (net of costs)" can be expected to be a helluva lot less than "net sales". Just in case there are any sales it's the kind of thing that should be cleared up ahead of time and right now it's a moving target.
I will keep at it, as I have for quite some time now...and I'll increasingly ratchet up the pressure.
