CHATSWORTH, Calif.--(BUSINESS WIRE)--January 20, 1998--In a bold step to expand its reach into wide area networks (WAN's) and remote access, MRV Communications, Inc., a Delaware Corporation (NASDAQ:MRVC) today signed a definitive agreement to acquire 100% of the outstanding capital stock of Whittaker - Xyplex, Inc., a Delaware corporation and its wholly-owned subsidiary Xyplex,, Inc., a Massachusetts corporation for $35 million in cash plus warrants to purchase up to 500,000 shares of MRV common stock at an exercise price of $35.00 per share. Xyplex focuses on providing access solutions for the network edge where local area networks (LAN's) connect to the public network infrastructure including carriers and internet service providers. Core competencies of Xyplex include WAN routing, remote access servers and network management.
