Sound a lot like KMI buying up the pipeline partnerships.

KMI is a C corp.

I think it is the way of many LP's in the future.

Adds debt for one thing!

Supposedly reduces cost of debt in the future.

There are too many variables to say for certain... the guys over at iVs MLP board can probably give you a big picture answer... there are some scary scenarios for very long term holders, including/especially claw backs for recapture rule... but if you dripped for any length of time and a bazillion other factors seem to make this a very tricky subject and frankly I gave up trying... I'm just never going to sell -- that was my plan, but early this session I dumped my remaining 1/2 position (I'd cut back to 1/2 when there were "conjectures" wrt dividend safety), and today I'm shopping for a replacement income stream... in my case, I almost never hold through a spin-off or MLP rollup -- the only time I ever regretted that was when ABT spun out ABBV and I sold on the news... don't know about ABT, but ABBV would have been a winner for me... oh well, time for next man up!

Oh, and despite the many reasons not to, APU was the sole remaining MLP in my IRA... a few years ago I shifted all the others to taxable acct.

Regarding the APU buyout tax implications - looks like I had a similar situation last year. Enbridge did a buyout of Spectra Energy Partners. It's treated no differently than if I had made the decision to liquidate my entire holding of SEP. If you're holding APU in a tax sheltered account no worries for you. But my APU shares are in a regular account as was my SEP. Does anyone know of a website or software or tax specialist that can forecast the tax implications?. I could just sell the APU now rather than waiting for the buyout to close. I need to know the tax hit before the end of the year for other reasons.
