There are numerous restrictions as to when an "insider" may trade a
stock. I know there are quiet periods when "insiders" can't trade and there are windows when they can. I not sure which has precedence: the quiet periods and windows or insiders can't sell or buy within a certain timeframe of an announcement of a material event? You'll have to ask the sec to get a clear answer on that one.
