Dear Peter - if its private financing is what the many of us SI known as the floorless debentures, the "oversea investors" will be executing a strategy called "pump'n dump." To make the long story short, they will use the debentures as the instrument for shorting the stk until the stk is down all the way to pennies! Another side effect is share dilution. So the effect of the reverse split will be undone. That's why I said the long time share holders would be at the short end of the stick!

Usually, cos who are cash strapped have no choice but to sign the pact with the devil, so to speak. While I don't ve HYBN, I ve a few of these in my portfolio.
