PRODUCTS AND TECHNOLOGY

In the last quarter of 1997, the company announced several strategically important agreements with
partners and customers. Amongst the most significant agreements with partners were the joint
development of a 64-bit microprocessor for consumer electronics and multimedia applications with
Hitachi Ltd. [NYSE:HIT - news], and a design joint-venture company to create ICs for consumer
electronics applications with Daewoo Electronics.

The company received a number of key design wins in the area of digital TV. An ATSC/HDTV
MPEG solution was developed with Thomson Multimedia and was demonstrated at the recent
Consumer Electronics Show in Las Vegas, Nevada. SGS-THOMSON's MPEG 2 decoder
products were selected by British Sky Broadcasting (BSkyB) for its digital set-top box design; and
by Scientific Atlanta for use in the Time Warner Pegasus Interactive Cable TV Program. In addition,
SGS-THOMSON continued to be a leading supplier of set top box ICs to Canal+, DirecTV Digital
Satellite System and General Instruments.
