If you call the company and ask them about this KIWT Bulletin Board stock they'll probably tell you what they told me - they didn't intend for their stock trade this way, it just kind of happened (because the employees wanted to trade it).

...you were exactly right.
i talked with a lady named Julie Stangl this morning.
she's head of investor relations. and it's just like you said.
apparently employees holding "D" shares sold a large block to
"a brokerage firm" and the firm took them to sale.
they've recently split 5-1.

...they don't anticipate any problems with the IRS and the "C" shares.
when, they will actually go public, is still an open question, since
apparently there are still some registration hurdles to clear.

...they "have no idea" why KIWT is trading up so well in today's
down market..."pure speculation".

...there is no "level 3" stock symbol. yet.
shares of KIWT will convert to shares of "Level 3" when/if it goes
public.
what i've been trying to figure out is how, if KIWT continues to
climb, prior to an IPO, the new company could go public at 60...or 70.
there's no way.
so i came to the conclusion that if i own 100 shares of KIWT today,
at say, 45, and the company went public tomorrow at $15, then
100 x $45 = $4500. at the new price my $4500 / $15 = 300 shares.
(does that make any sense ?)

you're right too, about getting in prior to the IPO.
i'm in.
