If I was the CEO of Osicom and major shareholder and knew that my company was going to be bought out in the next couple weeks. I would increase my share holding percentage.

There are two ways to do it.

1) Buy more shares ... Although SEC regulations prevent me from doing this

2) Decrease the outstanding shares...company already announced 2 million buyback.... totally legal :)

If I was the CEO of a company that wants to buy Osicom then I would buy up to 5% of the company before announcing the deal.
1 million shares.
