Davis, cut it out. Back down, admit you were wrong about this, and stop misleading everyone.

The Reg Ds can cover by converting at low prices that existed before a big announcement.

Each holder can call the company and convert, any day and every day.

Each holder can sell up to 50,000 shares per day.

Period.

You are wrong. wrong. wrong. You did not have any understanding of this whole deal. I quote from the 8-k and you ignore me. Shame!

As for the bet, sorry, it was a trick question. I will not take the bet since I do not know what each Reg D hoilder will do on any given day. They could drive the stock to 37 cents, or they could not sell a share. It is a sucker's bet, which is why the buyers have fled this stock.

Davis and All Just got off the phone with Bix (thank you Bix) about conversions. These are the discount dates nov 26 97 - jan 26 98 13% jan 26 98 - mar 26 98 20% mar 26 98 - may 26 98 22.5% may 26 98 - jul 26 98 25% jul 26 98 27% S-3 investors: They call tcln and say the want to convert and on that date they take the average of the lowest trading price for the 5 prior trading days. Conversion cap: After March 26, 98 the conversion price will be the average of the closing price from Feb 10 - Mar 24 or any 5 day lowest trading price from Sept on.(I think this is correct)Which ever is the lowest.
