Sorry but I'm not sure about the answer. They normally give specific dates (as Jan 26-to-Feb 02) and the intended sale price (Oilex @.70 or, if it's private, as in a huge block in major corporations [Assuming Bill Gates wants to sell all his stake to a second person] then the agreeable price). The best thing for a small investor, that in a small company can suffer a major drawback, is to choose stocks that don't expose you to those kinds of possibilities. "...even if they don't file with the Sec on a regular basis" yes, even if they are not a fully reporting company. I'ts restricted shares that they are trying to dump. Say company A buys back a million shares and offers them in exchange for part of company B. Those shares are already registered. In case company B wants to hide its sale, they can.
I cannot consciously say I'm right so please do check with a more reliable source.
