PSINet/IXC Internet Svcs-2: Deal Involves Use Of OC-48

HERNDON, Va. (Dow Jones)--PSINet Inc. (PSIX) shareholders approved the
company's rights-of-use deal with IXC Communications Inc.'s (IIXC) IXC Internet
Services Inc. unit.

As reported, under the agreement between the companies, IXC will provide
indefeasible rights of use in up to 10,000 OC-48 equivalent route miles on its
nationwide fiber optic network in exchange for about 20% of PSINet. PSINet and
IXC also signed a long-term marketing agreement.

IXC Internet Services, Austin, Texas, supplies digital transmission and long
distance services.

PSINet provides turnkey corporate Internet and intranet access, wholesale
access services to the telecommunications and ISP industries, electronic
commerce solutions and Web hosting services.
