Int'l Samuel Exploration (ISS-V) Feb 13, '20 has arranged a non-brokered private placement of up to six million units at a price of 7.5 cents per unit raising gross proceeds of $450,000. Each unit is composed of one common share of the company and one common share purchase warrant. Each warrant entitles the holder thereof to purchase one common share of the company for 24 months at an exercise price of 10 cents per share after the closing date of the offering. Insiders will be taking a portion of the private placement. This financing is subject to TSX Venture Exchange approval. The proceeds received from this private placement will be used to advance the Williams gold and porphyry property in the Toodoggone trench area of Northern British Columbia and general working capital. Stock options The company announces that it has granted incentive stock options to directors, officers, employees and consultants to purchase up to an aggregate of 500,000 common shares of the company at an exercise price of 11 cents per share for a term of five years from the date of the grant. The incentive stock options were granted in accordance with the company's stock option plan.
