Out of the hundreds of analysts' comments and their upgrades/downgrades that I have seen, the only meaningful one I have seen so far is DLJ's ratings on Sysco (NYSE:SYY). They had it as a "Buy" when it was in the 30's and low 40's (I got in at 37). And when it reached 45 or so recently, they downgraded it to a "Hold". There were no earnings warnings or anything of that sort (FYI, Sysco is a champion when it comes to increasing earnings year after year; they have done it for 19 years in a row!).

Till date, that is the only downgrade that has made sense to me, the small investor.
