Mr. Andes and his wife resigned because of the board and different views which came out after andres
made that news release. Please note Andre made that news release and 30 days they resigned. The
setlement of frozen common shares is againt Andre. I questioned Mr. Torres why audited financials were
being done when news was already released already in April showing a .01 profit per share for 1996. Mr.
Torres told me he was not in control of news releases at that time. HOWEVER he has been since Oct.
and he felt it was best to have the financials reaudited and filed to clear up any misconceptions and let the
cards fall where they lay. Since Oct Mr. Torres has been working diligently on a business plan to turn
this company around.

Now he could just done 1997 and forgot or taken for grant it that the 1996 news release was accurate. I
personally think Mr. Torres is in fact trying to shoot straight. He knows MDCE has an image problem but
so does 75% of the penny stocks.

I agree that MDCE should make a correction to that nerws release but Andres made that release and
resined 60 days later. Also I have never said they have revenues but I have been told they do have money
in the bank and I was sent a consolidated balance sheet on Oct 16, 1997, at 4:36 PM showing
$178,540.00 in the bank and an account receiveable of $5.5M and Total assets were $36.5 M. Total
liabilities at that time were $38,164 for MCI. Now I have tried not to hype this stock but I do have a file
of all the faxes I have received to date along with all my DD. I merely share what I find and I take the
negatives and research those points and overlook emotional speculation.

Now I took the 35.5 my self and divided by 9.8 and arrived at a 1997 book value of $3 - $4 when I open
the thread on SI on Oct 2.. Now I did call to see if the settlement of shares from Andre had been returned
to treasury. As of to date they have not and are still frozen.

New management have bought on and restricted have been issued which for normal for companies on
NYSE, AMEX, NASDAQ, and yes new management gets restricted stock and options to stock. Normal
business I think.

You know anti I do not know who you are but I really appreciate the concerns you make on stocks
because they are not emotional jargon but items of concern which need to be clarified.

I am in total ageement with you milesofstyles!

I have been following this one since GB posted it back in October, and he has been right on the money so far.

I have been slowly picking up shares on the dips for the past couple of months. I guess this the reason why I am finally posting on this thread.

I was half expecting it to break the .25 level by the end of this past week, and was a little surprised by the low volume on Friday, I thought for sure there would be more action. The next 2 or 3 months is going to be very interesting, anyway you look at the numbers, this baby is way under valued.
