TKA__ Maybe you have these already but the questions that are paramount in my mind are: 1. Clarification of the Management issue. Is Wilson planning on leaving when the stock issue is resolved? If so is Corky Logue the new leader or would they search for a new President? If yes than would Corky Logue still work for only stock options,as he has in his current role? 2.Clarification of the current direction for investment --Bingo vs VGM. In an earlier news release by JTO after the Warrant call was complete he mentioned all types of options that they had for investing the money. In light of a possible Mgt change (Wilson leaving) do those option still stand or will there be new direction based on the new Mgt. especially the influence of the two important stock holders on the board . (Mims and Harrison) 3.Since currently over 60% of our profits are coming from the S. C. VGM area, have we beefed up our efforts( spending more money)to support the Video Poker Industry? Like do we have our own lobbyist, or are we working through others? 4. Can we expect to maintain the 30% ROI on the invested new funds as we have in the past? TK I have also been lurking for quite a while & decided to come out of hibernation. Perhaps this is a sign that we will also hear from Rod & Que again soon. In any event here are some questions & comments you can change any way you see fit: 1. Around what date can we expect 4th qtr. earnings to be announced. 2. Is the entry into Canada with either bingo halls or vgm still on the table. 3. What happened to the monthly question & answer session with J.T.O. which would have kept us current with news & clarification of information we desire. Perhaps someone on our thread could comment on this point. Corky, as we know has not received any salary but instead is issued 9,500 options per month. At $5 per share it amounts to $570,000 per year if he exercised his options & could sell the stock. By now he could have over $2.0 M in options. Does the issuance of options to Corky count as stock outstanding in E.P.S. calculations & therefore dilutes the earnings? I wonder whether Corky is restricted as to when he can exercise & sell the stock. I would guess not. From the standpoint that the company is conserving its cash by not paying Corky a salary it seems to be a good deal for stockholders provided the cash is used to increase earnings thru acquisitions. I have compiled a list of questions offered by thread participants and observers. I have broken these questions up into categories as shown below. EVERYBODY: Please feel free to offer editorial comments and additional questions. Lets make sure we get our concerns expressed clearly and completely. Here goes: MANAGEMENT: - Is Greg Wilson planning on leaving American Bingo & Gaming (AB&G)? - If Wilson is planning on leaving, is finding a buyer for his stock the only issue preventing his departure? - If Wilson is planning on leaving, how much longer is it anticipated he will continue to serve as President and CEO? - If Wilson leaves, will Corky Logue become President of AB&G or will a search be conducted for a new President? - If Corky Logue becomes President, will his compensation continue to be solely from stock options or will he draw a salary? - Are there any other material facts associated with the recent resignation and immediate reinstatement of Greg Wilson that shareholders should know about? BUSINESS PLAN: - Previous news releases have indicated AB&G was considering all types of options for future investment. If Wilson leaves, will all options continue to be considered or will new management and two new Board members (Mims and Harrison) set a new direction for future investment? - Currently over 60% of our profits are coming from South Carolina VGMs. What action has AB&G taken to protect its investment in the South Carolina gaming industry? What action has AB&G taken to support the South Carolina gaming industry in general? - How many VGMs does AB&G expect to have in operation by the end of 1998? - What action would AB&G take if South Carolina were to outlaw VGMs? - What areas outside of South Carolina (other states, Canada, etc.) are conducive to AB&G's gaming business? Which of these areas are being seriously considered? - What is the status of the bingo halls which were to have opened by the end of 1997? - How many bingo halls does AB&G expect to have open by the end of 1998? - What areas (other states, Canada, etc.) are being seriously considered for expansion of AB&G's bingo business? MISCELLANEOUS: - Can we expect to maintain 30% ROI on invested new funds as we have in the past? - What percentage of AB&G's South Carolina VGM's would be characterized as requiring "a certain degree of skill" therefore being less likely to be deemed an "illegal lottery" as claimed by the South Carolina Attorney General? - What percentage of AB&G's South Carolina VGM's contain a "slot machine" and/or "keno" option? - When do you expect to announce 4th Quarter, 1997 earnings? - In November, 1997, AB&G promised to create a section of the company's website devoted to addressing shareholder questions. This website "Q&A section" was to be updated approximately once per month. Do you expect to continue the website "Q&A section" idea? If so, we can we expect an update? NASDAQ NMS APPLICATION: - Has an application for NASDAQ National Market System (NMS) listing been filed? If so, on what date was the application submitted to NASDAQ? - Will the recent decline in share price below $5.00 cause NASDAQ to reject BNGO's application for NMS listing? - NMS " Corporate Governance" criteria require two "outside" directors. Does AB&G meet this requirement? If so, what are the names of the Board members who qualify as "outside" directors? Again, feel free to offer editorial suggestions.
