Allow me to play devil's advocate here with the numbers. IAIC recently had about 6 million shares outstanding and another 1.3 million registered to cover the 1997 private placement. They will have to register more to cover the latest placement.

Also, the Soros funds may be investing or they may be buying the shares at a discount to sell them at the earliest opportunity. They have done this in other stocks where the Soros name contributes to a runup and they sell their shares into the strength.

I have no specific info on this particular deal.

At the time of the original post (that started this thread back in Nov of 1996) there were only 475K shares. Since then, the stock has split 3:1 twice!! That plus the private placements puts the number of shares outstanding over 6 million (I'm not exactly sure how many shares there are).
