Bay Networks Offers Hotwire(TM) Digital Subscriber Line
(DSL) products to solve the "last mile" bottleneck and deliver
Internet/Intranet access up to 125 times faster than 56k.

Washington, D.C. -- January 28, 1997 -- Paradyne, a pioneer in
DSL and a leader in digital network access, today announced that
Hotwire DSL products will be offered as part of Bay Networks'
end-to-end networking communication solution.

According to Kelly McGovern, Bay Networks' vice president of
Internet/Telecom marketing, this agreement reinforces Bay's
leadership positioning within the Network Service Provider (NSP)
and corporate enterprise communities as the premier provider of
complete high-speed network solutions.

"Bay Networks customers demand manageable, high performance
networks at reasonable price points," noted McGovern, "and DSL
offers affordable, high-speed network access. We selected
Paradyne's solution, because it offers us the scale, manageability and flexibility that compliments our Adaptive Networking strategy".

Paradyne's Hotwire products solve the "last mile" bottleneck and
deliver Internet/Intranet access 125 times faster than a 56k modem and more than 50 times faster than ISDN at 128 Kbps - at low
access costs. Targeted to deliver high-speed corporate Internet
connectivity, video applications and transparent LAN services (local area network connections within a metropolitan area), the
SNMP-managed Hotwire systems include two multiservices DSL
Access Multiplexers (DSLAMS) - the scaleable 8600, which
supports from as few as 4 to as many as 68 DSL ports and costs
one-fourth of competitive offerings and the 8800, a high-density
platform capable of supporting up to 576 DSL ports in a single 7'
cabinet. The Hotwire DSLAMS interoperate with a variety of
endpoint devices ranging in speed from 1 Mbps symmetric on up to
more than 7 Mbps.

This agreement pairs Paradyne's multiservices approach to the DSL
market with Bay Networks' core strengths in switches, routers,
Internet access, IP services and Network Management. Under the
terms of the agreement, Bay Networks will integrate Paradyne's
Network Management solution into their current offerings to deliver full management support.
