The company has completed a non-brokered private placement
for $103,040. The placement consisted of 515,200 A class
units and was completed on January 26 1998. The combined
proceeds of this placement and the placement reported in
Stockwatch January 14 1998 are $418,840.
The A class units were issued at $0.20 and consist of one
share and one warrant to purchase an additional share at $0.20
by April 22 1999. The shares and warrants will be subject to
a hold period of one year in BC and Alberta. No commission
or other fees are payable. Proceeds will be used for working
capital purposes.
The company has now closed the issue of A class and B class
units at $0.20.
The company has reserved an issue price of $0.35 for a
non-brokered private placement of up to 600,000 units. If fully
subscribed, proceeds will provide an additional $210,000
working capital for the company.
Each unit will consist of one share and one warrant to
purchase an additional share at $0.35 by January 27 2000.
Accordingly, 1,200,000 shares will be reserved for issuance.
