Ken,

This would be a set of terms for shareholder protection which make a company undesirable as a take over canidate. Sometimes a company is so desirable to an aquisition canidate that the terms will be overriden. Always shareholders are richly rewarded if this were to occur.
I do not remember the specifics of there poison pill, but do remember speaking with Alex and I liked whatever he had told me at the time.
