I have never felt that the compensation disclosures for the SPACs have been inadequate. They have actually gotten significantly more detailed over the past 15 years, although the lockup periods have shrunk. My guess is that Clayton may be more concerned about the size of the compensation packages, which can appear quite excessive when a SPAC does a deal four months after it goes public. Tightening up the disclosures, or even the actual compensation, won't have any impact on the quality of the deals, which is all that matters. A one day story.
