As far as I know, they could buy up to 5% of DEC's stock without filing with the SEC. There is a risk, however slight, that the merger will not take place, because of Justice Dept. opposition, or non-approval by DEC shareholders, etc.

Buying DEC is a cheap way to buy CPQ right now. DEC at $56 9/16 (today's close) is about $1.90 less than $30 + .945 x 30 1/8 (CPQ close). (This does not figure in commissions, carrying cost, and the risk that the deal may fall apart. Some of these calculations have been done previously on this thread.)
