Hi Jerry -

Yes, the class D shares will be exchanged for equity in Level 3
Communications once the tax-free separation is approved.

For your peace of mind, I would recommend pulling down the S4A filed on
11/10/97 in conjunction with the spin-off - refer to the summary section
-- "Upon the consummation of the transaction, Class D Stock will be
redesignated and modified as Diversified Holdings Stock (now, Level 3
Communications Stock)".
