Angela --

I posted that as I was headed out the door to see Wag the Dog (a must if you're a Dustin Hoffman fan or enjoy political satire), and only read it superficially. As for the additional shares, does a stock split require shareholder action? If so, this could mean there's a split anticipated. A small portion of the new shares may be to cover stock options from the Amati purchase. That would be a small proportion, however, as the ratio will be set at the time of closing and will most likely be in the range of 3 for 1. There are somewhere between 2 and 3 million options outstanding. The total has to be estimated as Cioffi's negotiations are separate from Amati's and I don't know his total, though I believe it was in the 1.2 to 2M range as of the last annual meeting. The others total 715,000.

Certainly minor compared to the requested total.

Cable modems? Here in my area we have Southwestern Cable which I believe is part of Cox Cable, and, yes, they're advertising highspeed hookups. I'm waiting for PacBell and believe I'll be among the first as they've already put in fiber nodes throughout the neighborhood.

Lucent DSL? I spoke with one of the engineers from their microelectronics division and he says they'll ship 3Q. I grilled him on splitterless and he agreed with every one of my points, with the bottom line being it's a lot of hype for the moment and much is yet to be decided. The fact they've decided to back the consortium's use of DMT is positive for TXN's Amati chips.

Later --
